Introduction

Open Joint-Stock Company "Trading and Industrial Company 'Temirlan-Oil'" was founded in 1996 to pursue active business operations in the energy resources market. From its inception, the company has focused on refining crude oil and gas condensate, as well as commercial activity involving petroleum products under the applicable licenses and permits. Over time, Temirlan-Oil established representative offices in the Tyumen Region (Russia), Sharjah (United Arab Emirates), and Urumqi (China), supporting international corporate communication and commercial coordination.

About Temirlan-Oil

In 1998, prompted by severe fuel shortages in the Kyrgyz Republic, the company was re-registered in the “Maymak” Free Economic Zone (FEZ) in Kara-Buura District, Talas Region, Kyrgyz Republic. All core assets were subsequently relocated there. Notably, the “Maymak” FEZ itself was established at the initiative of Temirlan-Oil's General Director.

Today, Temirlan-Oil is registered in the Kyrgyz Republic and operates under the tax regime applicable to FEZ participants. With government support, the company oversees a range of development projects centered in the “Maymak” FEZ. The FEZ General Directorate has leased a 41-hectare plot (for 99 years, extendable up to 500 hectares) to the company for building various strategic facilities.

Major Projects & Investments

Our project portfolio includes:

  • Construction of a feeder oil pipeline from Shymkent to the “Maymak” FEZ;
  • Construction of an oil refinery (3.5 million tonnes per year, up to 96% refining depth, indicative IRR of 21.7%, and a payback period of approximately five years);
  • Construction of a petrochemical plant as a technological extension of the refinery;
  • Construction of a 5 MW gas turbine thermal power station;
  • Exploration and development of the Jerooy gold deposit, confirmed reserves of 910 tons, approximately 499 tons recoverable, with an extraction grade of 17.5–21 grams per ton;
  • Construction of a grain elevator, an agri-processing facility, and a feed plant;
  • Construction of supporting infrastructure facilities.

The total investment cost of these projects is estimated at about €2.5 billion. This figure is included in the national development plan of the Kyrgyz Republic.

“Maymak” FEZ Advantages

Developing and expanding the “Maymak” Free Economic Zone provides numerous advantages for subsequent business activities in the region:

  • No corporate income tax
  • A single tax rate of 1% on turnover
  • No seasonal moratorium on petroleum product exports
  • Zero VAT on imported equipment, goods, and materials intended for use in the FEZ
  • A 0.15% customs duty for all HS codes entering or leaving the FEZ
  • Ability to open bank accounts abroad without special permissions from the National Bank of the Kyrgyz Republic

Financial & Insurance Structure

To mitigate financial and political risks associated with investment in the “Maymak” FEZ, Temirlan-Oil, together with the Royal School of Mines (United Kingdom) and Deutsche Pfandbriefbank (PBB), developed a special securitization scheme based on the Jerooy gold deposit. European and American funding and insurance providers have been engaged in structuring the financing. As part of the development of its international financial and investment infrastructure, Temirlan-Oil, through a British company forming part of its corporate structure, acquired a public investment company (PLC) registered in the United Kingdom and holding the necessary authorisations to conduct investment activities.

As part of the project's financial and risk-management framework, insurance and risk coverage solutions are structured in cooperation with leading international insurance providers. Highly experienced specialists and technologists from Russia, Kazakhstan, and Germany are involved in the project's development and implementation.

Temirlan-Oil is open to considering strategic participation that complements existing contractual financing arrangements and supports the phased implementation of projects within the “Maymak” FEZ.
